For purposes of these Terms and Conditions, references to this Web site mean the Web site bearing the URL www.resumyx.com, and any affiliated Web sites. References to “we,” “our,” and “us” mean Talentom Group, LLC, and Resumyx™. References to “you” and “your” mean the user of this Web site.

About Resumyx

The mission of Resumyx™ is to allow candidates to create an innovative, interactive resume resume while giving them an opportunity to complement it with a cover letter.

 

Agreement to be Bound.

 

The following terms and conditions, together with the relevant information set out on this Web site, including any features and services available, such as RSS feeds, podcasts, video and photographs, publications, and other materials(collectively the “Web site,”) are subject to the terms and conditions set forth below. Please read them carefully as any of use of this Web site constitutes an agreement, without acceptance, to be bound thereby by the user. By using this Web site you represent that you are at least 18 years old, have read and understand the terms and conditions and that you agree to be bound by these terms and conditions as set forth below.

 

These terms and conditions are subject to the Privacy Policy, which also governs your use of the Web site.

You acknowledge and agree that each vendor, subsidiary and affiliate of us shall be third party beneficiaries to the Terms and Conditions and that such other companies shall be entitled to directly enforce and rely upon any provision of these Terms and Conditions which confers a benefit upon them. No other party shall be a third party beneficiary of the Terms.

When you use this Web site, you may enter into negotiations for employment with another person or company. Your conversations, negotiations and future employment may be subject to separate terms between you and the company concerned. If so, the Terms and Conditions do not affect your legal relationship with these other companies or individuals.

Modifications and Changes to Terms and Conditions.

We may modify, add to, suspend or delete the terms and conditionsand/or privacy policy, in whole or in part, at our sole discretion at any time, with such modifications, additions or deletions being immediately effective upon their posting to the Web site. Online Accounts.

You will be given the opportunity to register via an online registration form to create a user account (your “Account”) that may allow you to receive information from us and/or to participate in certain features on the Site as a Member. We will use the information you provide in accordance with our privacy policy. By registering with us, you represent and warrant that all information you provide on the registration form is current, complete and accurate to the best of your knowledge. You agree to maintain and promptly update your registration information on the Site so that it remains current, complete and accurate. During the registration process, you may be required to choose a password. You acknowledge and agree that we may rely on this password to identify you. You are responsible for all use of your Account, regardless of whether you authorized such access or use, and for ensuring that all use of your Account complies fully with the provisions of these terms and conditions.

Multiple Accounts Prohibited.

You agree to have no more than one account and to not sell, trade or transfer that account to any other person or entity.

User-Generated Content; Community Guidelines; and Interactive Areas.

The Web site may contain comments sections, discussion forums, bulletin boards, or other interactive features ("Interactive Areas”) in which you may post or upload photographs, comments or other user-generated content in a social media setting. All users represent that they are 18 years of age or older by submitting content to Interactive Areas and that they agree to be bound by the terms and obligations set forth herein.

By participating in Interactive Areas, you agree further that you:

Shall not upload, distribute or otherwise publish on to the Services any libelous, defamatory, obscene, pornographic, abusive, or otherwise illegal material; and

Shall not threaten or verbally abuse other Members, use defamatory language, or deliberately disrupt discussions with repetitive messages, meaningless messages or "spam”; and

Shall not to use language that abuses or discriminates on the basis of race, religion, nationality, gender, sexual preference, age, region, disability, etc. Hate speech of any kind is grounds for immediate and permanent suspension of access to all or part of the Interactive Areas and use of the Web site; and

Shall not personally attack another user. Personal attacks are a direct violation of these terms and conditions and are grounds for immediate and permanent suspension of access to all or part of the Interactive Areas and use of the Web site; and

Shall not use the Interactive Areas to distribute or otherwise publish any material containing any solicitation of funds, advertising or solicitation for goods or services; and

Shall not upload, post or otherwise transmit any content that violates any law or engage in activity that would constitute a criminal offense or give rise to a civil liability; and

Shall not post unauthorized commercial communications (such as spam); and

Shall not upload, post or otherwise transmit any content that advocates or provides instruction on illegal activity or discuss illegal activities with the intent to commit them; and

Shall not upload, post or otherwise transmit content that does not generally pertain to the designated topic or theme of any Interactive Area; and

Shall not impersonate any person or entity, including, but not limited to, any of our employees, or falsely state or otherwise misrepresent your affiliation with any person or entity; and

Shall not interfere with any other user's right to privacy, including by harvesting or collecting personally-identifiable information about other users of our Interactive Areas or posting private information about a third party; and

Shall not engage in unlawful multi-level marketing, such as a pyramid scheme; and

Shall not upload, post or otherwise transmit any content, software or other materials which contain a virus or other harmful or disruptive component; and

Shall not interfere with or disrupt the Web site, the Interactive Areas or the servers or networks connected to the Web site or the Interactive Areas, or disobey any requirements, procedures, policies or regulations of networks connected to the Web site or the Interactive Areas; and

Shall not post any resume or apply for any job on behalf of another party without his or her express consent; and

Shall not defer any contact from an employer to any agent, agency, or other third party; and

Shall not set more than one copy of the same resume to public at any one time; and

Shall not share with a third party any login credentials to any Talentom Group, LLC, site and

Shall not post or submit to any Talentom Group LLC, site any incomplete, false or inaccurate biographical information or information which is not your own; and

Shall not post content that contains restricted or password-only access pages, or hidden pages or images; and

Shall not solicit passwords or personally identifiable information from other Members or recruiters; and

Shall not facilitate or encourage any violations of these Terms and Conditions or our policies.

Modification and Editing of User-Generated Content.

You agree further and acknowledge that any submissions you make to the Interactive Areas may be edited, removed, modified, published, transmitted, and displayed by us, and you waive any rights you may have in having the material altered or changed in a manner not agreeable to you. Submissions made to the Interactive Areas may also be included in our RSS feeds, APIs and made available for republishing through other formats.

Intellectual Property Rights in User-Generated Content.

By using the Interactive Areas, you grant us a perpetual, nonexclusive, world-wide, royalty free, sub-licensable license to your user-generated content, which includes without limitation the right for us or any third party it designates, to use, copy, transmit, excerpt, publish, distribute, publicly display, publicly perform, create derivative works of, host, index, cache, tag, encode, modify and adapt (including without limitation the right to adapt to streaming, downloading, broadcast, mobile, digital, thumbnail, scanning or other technologies) in any form or media now known or hereinafter developed, any user-generated content posted by you on or to the Interactive Areas or any other Web site owned by us, including any user-generated content posted on or to the Interactive Areas through a third party.

If it is determined that you retain moral rights (including rights of attribution or integrity) in the content submitted by you, you hereby declare that (a) you do not require that any personally identifying information be used in connection with the content, or any derivative works of or upgrades or updates thereto; (b) you have no objection to the publication, use, modification, deletion and exploitation of the content by us or our licensees, successors and assigns; (c) you forever waive and agree not to claim or assert any entitlement to any and all moral rights of an author in any of the content; and (d) you forever release us, and our licensees, successors and assigns, from any claims that you could otherwise assert against us by virtue of any such moral rights. You also permit any other user to access, view, store or reproduce the content for that user's personal use.

By posting user-generated content on or to the Interactive Areas or any other Web site owned by us, you are agreeing that it is non-confidential except as pursuant to our privacy policy and are consenting to its display and publication on the Web site and in the Interactive Areas and for related online and offline promotional uses.

Employers’ Responsibility for Postings.

Employers and recruiters are solely responsible for their postings on this Web site. We are not to be considered to be an employer with respect to your use of this Web site, and we shall not be responsible for any employment decisions, for whatever reason, made by any entity posting jobs on this Web site.

Cancellation of Employer Account.

Employers and recruiters understand and acknowledge that if you cancel your employer account or your employer account is terminated for any reason, all your account information from us, including saved resumes, network contacts, and email mailing lists, will be marked as deleted in and may be deleted from our databases. Information may continue to be available for some period of time because of delays in propagating such deletion through our web servers.

Restrictions on Advertising and Solicitations.

In order to protect our Members from commercial advertising or solicitation, we reserve the right to restrict the number of e-mails that an employer and/or recruiter may send to Members to a number at our sole and exclusive determination.

Candidate Profiles.

Candidate profiles derived from User-GeneratedContent may also be made available through the site. We do not make any representations regarding the accuracy or validity of such derived works or their appropriateness for evaluation by employers. Derived profiles may vary significantly from User-GeneratedContent.

Job Posting Guidelines.

A Job posting shall not contain:

any hyperlinks, other than those specifically authorized by us; and

misleading, unreadable, or "hidden" keywords, repeated keywords or keywords that are irrelevant to the job opportunity being presented, as determined in our reasonable discretion; and

the names, logos or trademarks of unaffiliated companies other than those of your customer save where expressly agreed by us; and

the names of colleges, cities, states, towns or countries that are unrelated to the posting; and

more than one job or job description, more than one location, or more than one job category, unless the product so allows; and

inaccurate, false, or misleading information; and

material or links to material that exploits people in a sexual, violent or other manner, or solicits personal information from anyone under 18.

Job postings may not be used to:

post jobs in a manner that does not comply with applicable local, national and international laws, including but not limited to laws relating to labor and employment, equal employment opportunity and employment eligibility requirements, data privacy, data access and use, and intellectual property; and

post jobs that require citizenship of any particular country or lawful permanent residence in a country as a condition of employment, unless otherwise required in order to comply with law, regulations, executive order, or federal, state or local government contract; and

post jobs that include any screening requirement or criterion in connection with a job posting where such requirement or criterion is not an actual and legal requirement of the posted job; and

post jobs or other advertisements for our competitors or post jobs or other content that contains links to any site competitive with us; and

sell, promote or advertise products or services; and

post any franchise, pyramid scheme, "club membership", distributorship, multi-level marketing opportunity, or sales representative agency arrangement;

post any business opportunity that requires an up front or periodic payment or requires recruitment of other members, sub-distributors or sub-agents; and

post any business opportunity that pays commission only unless the posting clearly states that the available job pays commission only and clearly describes the product or service that the job seeker would be selling; and

promote any opportunity that does not represent bona fide employment which is generally indicated by the employer’s use of IRS forms W-2 or 1099; and

post jobs on our site for modeling, acting, talent or entertainment agencies or talent scouting positions; and

advertise sexual services or seek employees for jobs of a sexual nature; and

request the use of human body parts or the donation of human parts, including, without limitation, reproductive services such as egg donation and surrogacy; and

endorse a particular political party, political agenda, political position or issue; and

promote a particular religion; and

post jobs located in countries subject to economic sanctions of the United States Government; and

except where allowed by applicable law, post jobs which require the applicant to provide information relating to his/her (i) racial or ethnic origin (ii) political beliefs (iii) philosophical or religious beliefs (iv) membership of a trade union (v) physical or mental health (vi) sexual life (vii) the commission of criminal offences or proceedings or (vii) age.

We reserve the right to remove any job posting or content from the Web site, which in the reasonable exercise of our discretion, does not comply with the above Terms, or if any content is posted that we believe is not in our best interest at our sole and exclusive discretion.

Resume Database.

Employers and Resume Reviewers shall use the Resume Database in accordance with all applicable privacy and data protection laws, and employers agree they shall not further disclose any of the data from Resume Database to any third party, unless they are an authorized recruitment agency, staffing agency, advertising or other agency or using the resume explicitly for employment purposes.

Employers shall take appropriate physical, technical, and administrative measures to protect the data they have obtained from the Resume Database from loss, misuse, unauthorized access, disclosure, alteration or destruction. They shall not share Resume Database seat-based license login credentials with any other party, nor share Resume Database pay-per-view license login credentials with any party.

The Resume Database shall not be used:

for any purpose other than for recruitment or resume review, including but not limited to advertising promotions, products, or services to any resume holders;

to make unsolicited phone calls or faxes or send unsolicited mail, email, or newsletters to resume holders or to contact any individual unless they have agreed to be contacted (where consent is required or, if express consent is not required, who has not informed you that they do not want to be contacted); or

to source candidates or to contact job seekers or resume holders in regards to career fairs and business opportunities.

Limitation of Resume Views.

In order to ensure a safe and effective experience for all of our customers, we reserve the right to limit the amount of data (including resume views) that may be accessed by employers in any given time period at our sole and exclusive determination.


Employment Not Guaranteed.

You acknowledge and agree that we do not guarantee any Member shall find employment leads, interviews, or positions as a result of our services or those offered by our Third Party providers. Employers further acknowledge and agree that we do not guarantee any employer shall find qualified candidates for employment as a result of our services.

Your Safety and Security.

This Web site acts as, among other things, a venue for (i) employers to post job opportunities and search for and evaluate job candidates and (ii) candidates to post resumes and Profiles and search for and evaluate job opportunities. We do not screen or censor the listings. We are not involved in the actual transaction between employers and candidates. As a result, we are not responsible for User-Generated Content, the quality, safety or legality of the jobs or resumes posted, the truth or accuracy of the listings, the ability of employers to offer job opportunities to candidates or the ability of candidates to fill job openings and we make no representations about any jobs, resumes or User-Generated Content on the Web Site. While we reserve the right in our sole and exclusive discretion to remove User-Generated Content, job postings, resumes or other material from the Web Site from time to time, we do not assume any obligation to do so and to the extent permitted by law, disclaims any liability for failing to take any such action.

Note that there are risks, including but not limited to the risk of physical harm, of dealing with strangers, underage persons or people acting under false pretenses. You assume all risks associated with dealing with other users with whom you come in contact through the Web site. By its very nature other people’s information may be offensive, harmful or inaccurate, and in some cases will be mislabeled or deceptively labeled. We expect that you will use caution and common sense when using the Web site.

Because Member authentication on the Internet is difficult, we cannot and do not confirm that each Member or employer is who they claim to be. Because we do not and cannot be involved in User-to-User dealings or control the behavior of participants on the Web site, in the event that you have a dispute with one or more members or employers, you release us (and our agents, employees and affiliates) from claims, demands and damages (actual and consequential and direct and indirect) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes to the fullest extent permitted by law.

Intellectual Property Rights Not Waived.

All material ("Materials") displayed or transmitted on this site, including but not limited to text, photographs, images, illustrations, video clips, audio clips, and graphics are owned by us and are protected by United States federal, state, and international copyright, trademarks, service marks, and other proprietary rights, laws and treaties.

Governing Law.

This agreement will be governed and construed in accordance with the laws of the United States without regard to its conflicts of law provisions. You agree to submit to the personal jurisdiction of the courts located in the United States in the State of New Jerseyand any cause of action, which arise from use of this Web site or from interpretation of these terms and conditions must be filed in the courts located in the State of New Jersey, United States. Agreement to Arbitrate.

This includes, but is not limited to claims arising out of or related to any aspect of the relationship between you and Talentom Group, LLC, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory; claims that arose before this or any prior agreement (including, but not limited to, claims related to advertising); and claims that may arise after the termination of these Terms and Conditions.

You agree that you and Talentom Group, LLC, are each waiving the right to trial by jury or to participate in a class action. You and Talentom Group, LLC, agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
